Dia internacional do Cooperativismo

O Cooperativismo é um segmento de crescente expansão. As cooperativas se caracterizam pela prestação de serviços, os quais fomentam a agricultura, o crédito e os produtores, essenciais para a economia do país.

Numa proposta diferente, os clientes/cooperados são também donos do negócio, fazendo com que o sistema se fortaleça cada vez mais, através de soluções que visam a redução do custo e a automação das tarefas, gerando, assim, milhares de empregos.

No dia 03/07, se comemora o Dia Internacional do Cooperativismo (#CoopsDay) com o tema “Reconstruir melhor juntos”.

Proclamado oficialmente pela Assembleia Geral das Nações Unidas no centenário da ACI em 1995, a data é comemorada por cooperativas de todo o mundo desde 1923, ocorrendo sempre no primeiro sábado de julho.

CONCEITO

Desde a primeira Cooperativa de Crédito no Brasil em 1902 que o ramo do cooperativismo está em constante crescimento. As Cooperativas são classificadas como associação autônoma de pessoas que, voluntariamente, se unem para fins comuns entre elas com viés econômicos, sociais e culturais.

OBJETIVO

As Cooperativas têm por objetivo a prestação de serviços aos seus cooperados que são, ao mesmo tempo, donos e usuários, além de proporcionar serviços e produtos em condições vantajosas. Esse formato tem sido muito atrativo para o mercado em geral.

LEGISLAÇÃO

Atualmente o Cooperativismo Brasileiro está regulamentado da seguinte forma:

Constituição Federal;
Lei 4.595/64 – Lei que instituiu a Reforma Bancária em 1964;
Lei 5.764/71 – Lei do Cooperativismo Brasileiro;
Lei Complementar 130/2009 (Lei Complementar à Lei 5.764/71);
Resolução 4.434/2015 (Resolução do Conselho Monetário Nacional).

ATO COOPERADO

São os atos praticados entre as Cooperativas e seus Cooperados para o alcance dos objetivos sociais. Esse ato não implica operação de mercado, não havendo incidência de tributos nos resultados.

CONSTITUIÇÃO

A sociedade cooperativa constitui-se por deliberação da Assembleia Geral dos fundadores, constantes da respectiva ata ou por instrumento público.

ASSEMBLEIA GERAL ORDINÁRIA E EXTRAORDINÁRIA

A Assembleia Geral dos associados é o órgão supremo da sociedade, dentro dos limites legais e estatutários, tendo poderes para decidir os negócios relativos ao objeto da sociedade e tomar as resoluções convenientes ao desenvolvimento e defesa desta, e suas deliberações vinculam a todos, ainda que ausentes ou discordantes.

Assembleia Geral Ordinária (AGO) se realizará anualmente nos 3 (três) primeiros meses após o término do exercício social para deliberar acerca de prestação de contas, relatórios, planos de atividades, destinação de sobras, fixação de honorários, cédula de presença, eleição da Diretoria e/ou dos Conselhos de Administração Fiscal e qualquer assunto de interesse dos Cooperados.

A Assembleia Geral Extraordinária (AGE) realizar-se-á sempre que necessário e poderá deliberar sobre qualquer assunto de interesse da sociedade, desde que mencionado no edital de convocação. De acordo com a legislação, é da competência exclusiva da Assembleia Geral Extraordinária deliberar sobre os seguintes assuntos: reforma do estatuto; fusão, incorporação ou desmembramento; mudança do objeto da sociedade; dissolução voluntária da sociedade e nomeação de liquidantes; contas do liquidante.

DOS ÓRGÃOS DA ADMINISTRAÇÃO

A sociedade será administrada por uma Diretoria ou Conselho de Administração, composto exclusivamente de associados eleitos pela Assembleia Geral, com mandato nunca superior a 4 (quatro) anos, sendo obrigatória a renovação de, no mínimo, 1/3 (um terço) do Conselho de Administração.

IMPORTANTE

Existem mais de 700 mil cooperativas em todo o mundo. A Agricultura teve e tem papel fundamental para a maioria das Cooperativas. As cooperativas pagam Imposto de Renda (IRPJ) e Contribuição Social sobre o Lucro Líquido (CSLL), sobre os atos não-cooperativos, e são isentas quanto aos atos cooperativos.

Modulação dos efeitos da exclusão do ICMS do Pis/Cofins

“A TESE DO SÉCULO”

O Supremo Tribunal Federal deve iniciar amanhã (05/05/2021) o julgamento dos Embargos de Declaração opostos pela União que pretende a modulação dos efeitos do julgamento do RE 574.706/PR (Tema 69). O julgamento estava previsto para o dia 29/04/2021, mas foi adiado. O tema em questão é debatido no STF há mais de 20 anos e estima-se que o valor em discussão seja de R$ 258,3 bilhões.

Entenda o caso:

A discussão se o valor referente ao ICMS integra a definição de receita enquanto materialidade do PIS e da COFINS tem início com o RE 240.785. Na ocasião o STF entendeu por maioria de votos pela inconstitucionalidade de inclusão do valor do ICMS na composição do PIS e da COFINS, pois estranho ao conceito de receita.

Em 15/03/2017 o STF ao julgar o RE 574706 sob a sistemática do regime de repercussão geral definiu a seguinte tese: “O ICMS não compõe a base de cálculo para a incidência do PIS e da COFINS”.

E o que significa ter o caso “repercussão geral”?

Significa que os tribunais e turmas recursais de origem devem aplicar a decisão do STF aos processos que foram sobrestados em virtude de versarem sobre o mesmo assunto, ou que venham a tratar de idêntica questão.

A exclusão do ICMS da base de cálculo do PIS e COFINS já é algo superado. O que se discute agora é a partir de quando a decisão do STF deve ser aplicada.

O Parecer da Procuradoria Geral da Fazenda Nacional é no sentido de que se faça a modulação dos efeitos do acórdão, de modo que o decidido neste paradigma tenha eficácia para o futuro, a partir do julgamento dos embargos de declaração.

Em regra, as decisões de inconstitucionalidade possuem efeito retroativo. Assim, caso não haja a modulação pretendida, os contribuintes podem reaver os valores pagos a maior referente aos cinco anos anteriores à propositura de cada ação.

8th Christmas party for children from the neighborhoods: Vila Nova, Paquetá e Centro – Santos / SP

How it has all started
By the year of 2006, Aldeídes Azevedo has begun her job as a nurse in the Family Health unity, in Santos historical centre.
One of her functions as a nurse was to recognize the local and the people in the area where she work, and for that, Aldeídes faced a tough reality. She met families who lived in sub-human conditions and in the most of the time living in slums and shared the house with other families.
In face of this reality, Aldeídes started a voluntary service and begun to distribute small Christmas baskets to help fighting the food scarceness and bringing some comfort to these children and their families.
In the beginning, there were 20 children and the festivities were at the health unity, and the baskets were made by Aldeides’ family.
In the next year, the festivity has occurred in another place, also a simple place, but a place which held a large number of people, so, in the second year 50 baskets were delivered to these people.
The requirement for the child to get his basket was that the mother should take the child to do the doctor accompaniment, taking the child to take the vaccines when it is necessary.
The strategy helped on the monitoring and considerable improvement in the children’s health.
Since 2010 the party it is held in the Sports Gymnasium from the Custom’s Broker Union, space which is becoming small to the grandiosity of this event.
In 2014 sandwiches were distributed, finger-food and soft-drinks besides 172 gifts and 120 baskets to the families in an event plenty of fun for the children and their family.
Ms. Aldeídes organization counts on the help of her family. Pedro Azevedo, our intern, already apprived in the OAB, is the son of Ms. Aldeídes, and as his family, participates body and soul of the moment. Fadiga e Mardula Office, represented by The administrative associate Bernardo, supported the event, having the priviledge of sharing such a moment. Attention, care and understanding of the real needs, is the essence of this humanitarian and sharing project. Among inequalities, we are all the same, and those who lean for reality, are not only better, they are great!!!

The lawyer image is naturally controversial.

Either by the knowledge,

or by the perspective…

Among the terms which define us,

some summarize in admiration.

But for derogatory others,

they limit us in exasperation.

Oh…only if they knew the misfortune which stalks us.

Our search for justice which is not always well succeeded…

oh…only if they knew what it is like, dealing with lives.

The miracles for times accomplished in a well developed cause.

But it is not possible to please all,

no matter the profession,

we follow then, our path in order to fulfil our mission.

In one day,

a pledge of which we shall not forget.

Fight with dignity,

without ever weaken.

Opening of play room at Santa Casa de Misericórdia

With the support of Fadiga Mardula Buosi e Camargo lawyers and partners CREDISAN, SANCOR, (Degitel, Caldan, 220 volts and Locadora Mantiqueira), it was opened the new playroom of Santa Casa de Misericórdia D. Carolina Malheiros, based in São João da Boa Vista- SP. After being aware of the former situation of the playroom in the Santa Casa, the Office has devised the Project, and with the support of the partners mentioned above, concluded the refurbishment Jobs, offering the sick children a happy and welcoming environment. As shown in the images, this mobilization acquired numerous quality toys, including TV installation, DVD and air conditioning system, all according to the standard required by the local. According to researches, is it proved that playing contributes to the hospitalised children recovery, making that the treatments and painful procedures to which they must be submitted to become easier.

Lecture at Escola Estadual Professor Marciano de Toledo Piza in Rio Claro/SP

The professors Maria Vilma e Cristina(responsible for the subject Pensar Direito), Administrative Associate Fábio Fadiga and lawyer Amanda, in May 29th 2014, the Fadiga Mardula Buosi e Camargo Office lectures at Escola Estadual Professor Marciano de Toledo Piza in Rio Claro/SP for a class of approximately 20 high school students, about the vision of a Law firm as a company. This class develops a specific Project in paralell with the regular classes called PENSAR DIREITO. The administrative associate Fábio Fadiga has spoken about the subject and ended up showing a parallel universe to the judiciary, existent in the routines of a corporate Law Office. The explanation lasted about 50 minutes, and after that, there was an opportunity for a conversation among the associate Fábio, also with the lawyer Amanda and the purchasing manager Wdson, presents at the occasion. After the acceptance of the proposal by the students, parents and school coordinators, the Office has invited them for a new meeting, this time held at the Office headquarter in Campinas/SP in July, occasion in which the students will know the routines and structure on-site , as well as participate of a lecture about “Social Networks in work environment”, followed by a lunch in order to proceed with the integration, knowledge and learning processes.

I Legal Fair – FACAMP

In May 20th 2014, the Fadiga Mardula Buosi e Camargo office had the honour to participate at the “I Legal Fair” promoted by the Academic centre of FACAMO, in Campinas- SP. The event counted on eight Lawyers office participating from Campinas city and region. At the occasion, the Fadiga Mardula Buosi e Camargo had the opportunity ti present the students and former students a little of its history and structure, answer questions regarding the operation of Law offices, especially in corporate markets, among other Law areas. Each of the boards present on the event lectured about one subject. In our case, the lecturer was the administrative associate bernardo Buosi about the following subjects: entrepreneurship in Lawyers office and a study about managerial model and succession process in familiar companies. A differentiated initiative of the academic centre of the Law school FACAMP which brought unique experiences both to the students and to the Fadiga Mardula Buosi e Camargo Office, through the professionals who attended the event, who could know a little more about the profile of the professional in training and what this professional expects from a Lawyer’s office.

21st Pão de Açúcar Relay Marathon of São Paulo

The 21st Pão de Açucar Relay Marathon took place in 22nd of September 2013 in São Paulo. It was composed by 4 turns per team, in a path of 10.548 meters each turn, totalizeng 42.195,75 meters, measured by IAAF/AIMS with a maximum duration of 5 hours. The Pão de Açúcar Relay Marathon of São Paulo is composed by 03 modalities, teams formed by 2, 4 and 8 athletes and 2 categories, masculine and feminine. The Fadiga Mardula Buosi e Camargo Firm participated in the relay competition of the Marathon with the professionals: Administrative associates, Bernardo Buosi e Edgar Fadiga Junior, lawyer Advogada Amanda Daniele Antônio; interns Ana Luiza Frizzo e Bruno Cavalari Gomes Camargo, IT area Diego Mejiolário Secco e Kalu Violante Trafani.

In February 2014, the Santa Casa de Misericórdia D. Carolina Malheiros, in São João da Boa Vista (SP), promoted, among other training, the I multidisciplinary journey of high complexity, targeted to auxiliary, nurses, nursing technicians, nutritionists, speech therapists and physiotherapists. The event of high complexity content counted on the lectures held by local doctors: 18/02;2014: “How and when P.A.M (mean blood pressure) must be used” by Dr. Alexandre Miled Thome (anaesthesiologist and intensivist); 25/02/2014: “Nursing cares in column trauma” by Dr. Leonardo Lo Duca (neurosurgeon); and 28/02/2014: “AVCI and AVCH”, By Dr. Adriano Teixeira de Oliveira (neurologist). The Fadiga Mardula Buosi e Camargo was honoured to support such a journey and other events, extremely important for the local professionals and community.

IV Latin American Course in Arbitration Training

On September 27th, it was finished the IV Latin American course in arbitration training, organized by Defamília- Strategies for entrepreneurs’ families, in which our firm participated after incitation from GEJUR- Gestão Jurídica Empresarial. The training was divided into 3 (three) modules executed in June, August and September, the two first at the Algi headquarter in São Paulo, and the last one in Buenos Aires, Argentina, at Mediaras office- Mediaciones Privadas. The conclusion of the course added to the approval in a final exam qualified the students to receive the Arbitration Certificate of course completion –CCCM of CONIMA (National Board of the Institutions of Mediation and Arbitration). The Fadiga Mardula Buosi e Camargo firm participated of this course through the professional Ricardo Augusto Kazuo Okuda from Sorocaba subsidiary.
